End-user licence agreement
Last updated 27 September 2026
Agreement
This end-user licence agreement is between Baxter (“we”, “us”) and the business or person who creates an account or uses the Baxter software (“you”). It covers the website at heybaxter.app, the staff and technician apps, the customer portal, and optional connections such as QuickBooks Online (the “Service”).
By creating an account, signing in, or connecting an integration, you agree to these terms. If you do so for a business, you confirm you can bind that business. Our privacy policy explains how we handle personal information.
Licence
We grant you a non-exclusive, non-transferable licence to use the Service for your internal business operations while your account is active and these terms are met. We retain all rights in the Service, including the software, design and Baxter name. You keep ownership of the business records you put into Baxter.
You may not:
- Copy, resell, sublicense or reverse engineer the Service, except where the law allows.
- Use the Service to break the law, or to access another business’s data.
- Interfere with the Service, or probe it except as part of normal use.
- Remove notices of our rights, or present Baxter as your own product.
Accounts
You are responsible for the users you invite, the credentials they use, and the activity under your account. Tell us promptly at privacy@heybaxter.app if you believe an account has been compromised.
QuickBooks Online
QuickBooks Online is a separate product from Intuit. Connecting it is optional. If you connect a QuickBooks company, you authorise Baxter to access that company through Intuit’s sign-in and to sync customers, invoices and payments as described in the privacy policy.
You can disconnect at any time. Disconnecting revokes Baxter’s token with Intuit and deletes the stored connection. It does not delete records already stored in Baxter or already written to QuickBooks. Intuit’s own terms apply to your use of QuickBooks. We are not Intuit, and Intuit is not responsible for Baxter.
Your data
You are responsible for the accuracy of the records you enter and for having the right to upload them, including customer details you sync to or from QuickBooks. You grant us a licence to host, process and display that data only so we can provide the Service to you.
Third-party services
The Service relies on providers such as Intuit, Stripe, Twilio and others named in the privacy policy. Their availability and terms are outside our control. A failure of a third-party service is not a breach of this agreement by us.
Availability and changes
We may change, suspend or discontinue features, including an integration, where we need to for security, law, or because a provider changes its service. We will give notice of a material withdrawal of the QuickBooks connection where it is practical to do so.
Disclaimers
The Service is a tool for running a trade business. You remain responsible for your quotes, invoices, tax, employment and customer obligations. To the extent the law allows, the Service is provided as available, without warranties of uninterrupted or error-free operation.
Nothing in these terms excludes, restricts or modifies rights you have under the Australian Consumer Law that cannot be excluded.
Liability
To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, data or goodwill. Our total liability arising out of the Service in any 12-month period is limited to the fees you paid us for the Service in that period, or AUD $100 if you paid no fees.
This limit does not apply to liability that cannot legally be limited, including liability for fraud or for a breach of a non-excludable consumer guarantee.
Ending the licence
You may stop using the Service and disconnect integrations at any time. We may suspend or end access if you materially breach these terms, or if we are required to by law. On termination the licence ends. Sections that by their nature should continue, including ownership, disclaimers and liability, continue to apply.
Law
These terms are governed by the laws of Australia. The courts of Australia have jurisdiction over disputes about them.
